The only way to find out is to use the Win 7 Pro w/SP1 disc and see what happens. I had done upgrades from Windows XP to Windows 7 several times before and did not encounter any problem with activation. I had to call Microsoft to get the system activated. Over the internet I received an error advising me the key was identified as an upgrade key and could not be used on a clean install, which is the path you must take if upgrading from Windows XP. I encountered my first problem with a clean install using an upgrade key a few weeks ago. I have discovered from personal experience that some of the upgrade keys will not allow activation on a clean install. The answer is maybe it will work with no problem and maybe it will not work.
